Terms of Service
Website Terms and Conditions
I describe the agreement that governs your use of the service, including important notices and limitations.
Effective date: 26 January 2026
These Terms of Service apply to all services and digital products offered by Ryan Webb via ryanbwebb.co.uk, including (without limitation) monthly SEO retainers, one-off SEO services (such as audits), consulting, and any other digital deliverables or productised services.
Where you are engaging Ryan Webb for a monthly package/retainer or a defined project, you may also receive a proposal, statement of work, or separate service agreement. If there is any conflict, the signed agreement/proposal takes priority and these Terms apply to everything else.
1. Service formats
Ryan Webb’s offerings generally fall into two categories:
A. One-time services & digital products
Examples include SEO audits, one-off strategy, technical reviews, or other standalone services purchased online or agreed by invoice.
B. Monthly packages / retainers & contracted services
Examples include ongoing SEO retainers, monthly optimisation, reporting, content support, or project-based work delivered over an agreed period.
2. Payments and billing
One-time services & digital products
Payment is due in full at checkout or upon invoice before work begins, unless explicitly agreed otherwise.
Monthly packages / retainers
Retainers are typically invoiced in advance (for example, at the start of each month) and are payable upon receipt unless otherwise agreed in writing.
If payment is late, work may be paused, and time-sensitive deliverables may be rescheduled.
Expenses and third-party costs
Any agreed third-party costs (for example, software, tools, ad spend, stock assets) are payable by you and are not included unless stated in writing.
3. Delivery, timelines and access
To deliver the work, you agree to:
Provide timely access to required platforms (for example, CMS, analytics, Search Console, ad accounts where relevant).
Respond reasonably promptly to requests for approvals, feedback, or information.
Notify Ryan Webb of material website changes that could impact results (particularly relevant to SEO, tracking, and site performance).
Delays caused by missing access, approvals, or information may affect timelines and outcomes.
4. Revisions and out-of-scope work
Revisions vary by service type:
One-time services & digital products
Unless explicitly stated, deliverables are final upon delivery and do not include revisions, implementation, or follow-up.
Project-based work
Where applicable, revision rounds and scope are defined in your proposal/statement of work.
Requests outside scope, additional rounds, or changes after sign-off may be quoted and billed separately.
Monthly packages / retainers
Retainers cover ongoing optimisation and iteration within the agreed monthly scope.
New initiatives or substantial additional work (for example, new site sections, migrations, large-scale content production, PR, extensive CRO) may be quoted separately and agreed in advance.
5. Cancellations, notice and refunds
One-time services & digital products
Once work has started, one-time services and digital products are non-refundable, unless Ryan Webb is unable to deliver.
Monthly packages / retainers
Unless your agreement states otherwise, retainers may be cancelled with one month’s written notice, subject to any agreed minimum term.
If a minimum term applies, cancellation during the minimum term may require payment of the remaining fees up to the end of that term (unless otherwise agreed).
If you are on advance billing, you remain responsible for fees covering work delivered up to the effective cancellation date.
If Ryan Webb cannot deliver
If delivery becomes impossible due to illness or unforeseen circumstances, Ryan Webb will notify you as soon as reasonably practicable and discuss a fair solution, such as deferral or a proportionate refund for any undelivered, paid work.
6. Intellectual property
Client ownership: Final deliverables created specifically for you are yours once all invoices due for that work are paid in full, unless otherwise agreed.
Ryan Webb’s IP: Pre-existing tools, templates, frameworks, processes, know-how, and internal methods remain the intellectual property of Ryan Webb.
Portfolio rights: Ryan Webb may display non-confidential aspects of completed work in a portfolio or case study unless you request otherwise in writing.
7. Confidentiality
Ryan Webb will treat confidential information you share as confidential and will not disclose it to third parties except where required to deliver services (for example, vetted service providers) or where legally required.
8. Performance disclaimer (SEO and marketing reality)
Ryan Webb does not guarantee specific outcomes such as rankings, traffic, conversions, or revenue. Performance depends on factors outside anyone’s control (including algorithms, competitors, technical constraints, budgets, and market behaviour). Ryan Webb will act in good faith and apply reasonable skill and care.
9. Limitation of liability
Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot be limited under law.
Subject to the above, Ryan Webb’s total liability is limited to the fees you paid for the specific services giving rise to the claim. Ryan Webb is not liable for indirect or consequential losses (including loss of profits, revenue, data, goodwill, or business interruption).
10. Termination
One-time services conclude on delivery of the agreed deliverable.
Monthly packages/retainers may be terminated in line with the cancellation terms above.
Either party may terminate immediately for a material breach that is not remedied within a reasonable period after notice.
11. Changes to these Terms
Ryan Webb may update these Terms from time to time. The latest version will be published on ryanbwebb.co.uk and will apply from the effective date shown.
